This page outlines SisterBridal's intellectual property policies, OEM/ODM service terms, and legal disclaimers governing our partnerships with bridal boutiques and retailers worldwide.

Important Notice

SisterBridal is a professional OEM/ODM bridal manufacturer with over 15 years of experience. We are committed to respecting and protecting intellectual property rights -- both our own and those of our partners. By engaging with our OEM/ODM services, you agree to the terms outlined on this page.

Section 01

Intellectual Property Protection & Ownership

1.1 SisterBridal's Proprietary Assets

All original designs, patterns, technical sketches, construction techniques, proprietary production processes, and branding materials created by SisterBridal are the exclusive intellectual property of SisterBridal. This includes, but is not limited to:

  • Original dress silhouettes, pattern blocks, and construction blueprints developed in-house
  • Proprietary embellishment techniques, lace sourcing methods, and fabrication know-how
  • SisterBridal brand name, logo, trademarks, and associated marketing collateral
  • Catalog photography, product images, and digital content produced by SisterBridal

1.2 Client-Provided Designs

When boutiques or retailers provide their own original designs, sketches, patterns, or proprietary design concepts for OEM/ODM production, SisterBridal acknowledges and respects the client's ownership of those intellectual property rights. We commit to:

  • Producing garments exclusively for the commissioning client, not for any third party
  • Not replicating, reproducing, or selling client-provided designs to any other party without explicit written consent
  • Maintaining strict confidentiality over all proprietary design materials submitted by clients
  • Returning or destroying sample materials and documents upon completion of the project, if requested

1.3 Third-Party IP Compliance

SisterBridal does not knowingly reproduce designs that infringe upon third-party intellectual property rights. Clients are responsible for ensuring that any designs, logos, or branded elements they submit for production are either:

  • Original works owned or legally licensed by the client
  • Free from infringement of any existing patents, trademarks, copyrights, or design rights

Disclaimer: SisterBridal shall not be held liable for any intellectual property infringement claims arising from production of client-submitted designs. Full legal responsibility rests with the commissioning party.

Section 02

OEM/ODM Service Terms & Conditions

OEM Service

Original Equipment Manufacturing -- We manufacture garments precisely to your provided specifications, patterns, and designs. Your brand retains full ownership and labeling rights over the finished product.

ODM Service

Original Design Manufacturing -- We develop original designs based on your brief, market requirements, or style direction. Co-developed designs are governed by the IP ownership terms agreed upon in your service contract.

2.1 Design Ownership in ODM Engagements

For ODM projects where SisterBridal contributes original design work, the following ownership framework applies unless otherwise specified in a signed agreement:

2.2 Exclusivity & Non-Replication

Exclusivity of designs must be explicitly negotiated and confirmed in writing. Unless an exclusivity agreement is in place:

  • SisterBridal reserves the right to offer similar base silhouettes or construction methods to other clients
  • Client-submitted proprietary designs will never be replicated for another party, with or without an exclusivity agreement
  • Exclusivity fees apply for clients requesting sole rights to specific SisterBridal-originated designs

2.3 Sample & Prototype Rights

Physical samples and prototypes created during the development phase remain the property of SisterBridal until full payment for sample fees is received. Upon payment, physical samples become the client's property. However, the underlying pattern blocks and technical documentation created by SisterBridal remain proprietary to SisterBridal unless otherwise negotiated in writing.

2.4 Minimum Order & Production Terms

Our OEM/ODM services are governed by the following production parameters:

Specific lead times, payment schedules, and production capacities are defined in individual client purchase agreements and order confirmations.

Section 03

Brand Usage Policies & Guidelines

3.1 Use of the SisterBridal Name & Logo

The SisterBridal name, logo, and associated trademarks are proprietary assets. Clients and partners may reference SisterBridal as their manufacturing partner only under the following conditions:

  • • Referencing SisterBridal in internal business communications
  • • Mentioning the partnership in trade show or buyer presentations (non-public)
  • • Disclosing manufacturer identity when legally required
Prohibited Uses
  • • Publishing SisterBridal's name/logo on retail-facing marketing without consent
  • • Representing that your boutique is SisterBridal or an official subsidiary
  • • Using SisterBridal imagery or product photos without written authorization

3.2 Private Label & White Label Production

SisterBridal fully supports private label and white label production for boutiques and retailers. For garments produced under your brand identity:

  • Your brand label, hangtags, and packaging may be affixed to all finished products
  • SisterBridal branding will not appear on garments unless explicitly requested and agreed upon
  • Client's brand identity and product photography rights over finished goods belong to the client
  • Label and packaging specifications must be provided by the client and are subject to our quality review

3.3 Photography & Portfolio Use

SisterBridal may photograph garments produced in our facilities for internal quality records. We will not publicly publish images of client-commissioned designs without prior written approval. If a client grants permission, SisterBridal may feature co-developed work in our portfolio or marketing materials, with appropriate credit or without brand disclosure, as mutually agreed.

Section 04

Confidentiality & Non-Disclosure

4.1 Confidential Information

In the course of our partnership, both parties may exchange confidential business information. SisterBridal treats the following categories of client information as strictly confidential:

Design files & patterns
Pricing & business terms
Customer & market data
Brand strategy & plans
Order specifications
Proprietary techniques

4.2 NDA Arrangements

SisterBridal is fully open to executing a formal Non-Disclosure Agreement (NDA) prior to sharing detailed technical briefs, proprietary design assets, or sensitive business information. We encourage clients who require heightened confidentiality protection to request an NDA before commencing any design development phase. Please contact us directly to arrange this.

4.3 Internal Handling of Client Information

Client design files and proprietary information are shared internally on a strict need-to-know basis, limited to the production and quality teams directly involved in fulfilling the order. SisterBridal implements reasonable organizational measures to prevent unauthorized access, disclosure, or misuse of confidential information.

Section 05

Liability & Legal Disclaimers

5.1 Limitation of Liability

SisterBridal's liability in connection with any OEM/ODM engagement is limited to the total value of the specific order giving rise to the claim. We shall not be liable for any indirect, consequential, incidental, or punitive damages, including but not limited to loss of profit, business interruption, or reputational damage arising from the use of products manufactured by SisterBridal.

5.2 IP Infringement Indemnity

The client agrees to indemnify, defend, and hold harmless SisterBridal, its employees, agents, and subcontractors from any claims, damages, losses, or expenses (including legal fees) arising out of or related to any allegation that client-provided designs, trademarks, or brand elements infringe upon the intellectual property rights of any third party.

5.3 Quality & Specification Disclaimer

SisterBridal manufactures garments in strict accordance with approved samples, specifications, and materials confirmed prior to production. Any deviations requested after production commencement may be subject to additional charges. We do not accept liability for quality issues resulting from client-specified materials, construction methods, or design decisions that our team has flagged as potentially problematic in writing.

5.4 Governing Law

These terms and any disputes arising from SisterBridal's OEM/ODM services shall be governed by and construed in accordance with the laws of the People's Republic of China, unless an alternative jurisdiction is expressly agreed in a signed contract between both parties. Any disputes shall be resolved through good-faith negotiation first, and if unresolved, through arbitration or the competent courts of Fujian Province, China.

5.5 Policy Updates

SisterBridal reserves the right to update, modify, or revise these IP & OEM Disclaimer terms at any time without prior notice. The most current version will always be available on this page. Continued engagement with our services following any update constitutes acceptance of the revised terms. For existing contracts, the terms in effect at the time of contract signing will govern unless both parties agree otherwise in writing.
